Anthropic says it will put 5% of its shares into a new Anthropic Public Benefit Fund, and the stake can grow as the company does. The idea is to tie what the public receives to how well the business does, at a moment when AI's effect on jobs is a live worry.

The pledge needs stockholder approval first. After that, the board may add 2% more for each 50% rise in the company's value above a baseline, which Anthropic hasn't named. More detail on structure, governance and those milestones is promised in the coming months.

How the fund is built

The vehicle is a wholly owned LLC, not a 501(c)(3) nonprofit. Anthropic says that lets it shift between big gifts to traditional charities and direct payments to particular groups of people. The company also says the LLC's shares can't fund lobbying or political giving, at home or overseas.

It draws a pointed contrast with executive pay: tech firms often grant leaders escalating equity awards, and Anthropic says it is steering that sort of equity to the public instead.

Jobs are the first example

The company says AI could create huge economic value while unsettling many workers, and it has already put $200 million toward studying and addressing that.

The 20% figure and the IPO

Anthropic counts earlier pledges too: its co-founders have promised 80% of their equity, and about half of employees join a donation match. Together, it says, roughly 20% of shares are headed for public good before any milestone additions.

The timing is hard to miss. Reuters reports that Anthropic is planning one of the biggest IPOs in history as a public benefit corporation. Elon Musk, whose company xAI competes with it, replied on X that Anthropic should distribute the shares directly to the public rather than park them in a fund, according to Crypto Briefing.

Still unknown: who runs the fund, how it spends, and where the value bar sits. We also haven't yet heard from charity or tax law specialists on whether an LLC delivers the flexibility Anthropic describes. Is a pledge tied to the stock price a real commitment, or smart timing before a listing?
